Common Preparation Errors to Avoid

  • Vague scope descriptions lead to disputes over deliverables and may trigger costly change-order claims and delays.
  • Omitting precise payment terms, including invoice requirements and late fees, often results in delayed collections and strained relationships.
  • Relying on images of signatures without an audit trail or appropriate authentication may weaken evidentiary support in litigation.

Risks and Consequences of an Incorrect Contract

Unenforceable Terms: May lead to voided provisions
Tax Exposure: Incorrect characterization can create reporting issues
Monetary Damages: Liability for breach and consequential losses
Regulatory Penalties: Sector-specific fines or sanctions
Data Privacy Risk: HIPAA or state privacy violations
Notarial Defects: Faulty notarization may impair record weight

  • Tim Martin, Founder of Martin Properties, said, 'I can process and execute all of these documents online with 100% compliance and built-in security.'

Download, Attachments, and Audit Trail Considerations

After execution, ensure the signed file format, exhibits, and audit trail meet internal and external requirements.

Download Formats

Save the executed contract as a PDF/A or PDF to preserve layout and embed signature metadata for long-term archive and portability.

File Types

Keep source DOCX and final signed PDF; retain any CSV or Excel schedules used to compute fees or deliverables.

Attached Exhibits

Number and date each exhibit; reference exhibits in the main body to ensure they are incorporated by reference and enforceable.

Audit Trail

Preserve the signing audit log (IP, timestamp, authentication method) as proof of execution and intent.

Practical Tips for Accurate and Efficient Completion

Adopt consistent templates and review checklists to accelerate execution and reduce avoidable errors.

Standardize Core Clauses
Keep a single version of core provisions—scope, payment, termination—so reviewers focus only on deal-specific changes and not boilerplate language.
Use Clear Milestones
Define acceptance criteria and delivery milestones by date or objective measure to avoid subjective performance disputes and simplify invoicing.
Preserve Evidence of Consent
When using electronic signatures, ensure the platform captures intent, consent, attribution, and a retrievable record per ESIGN and UETA standards.
Limit Negotiable Items
Flag deal-specific commercial points for negotiation and lock administrative clauses to speed approvals and lower legal review costs.
