What a Business Contract Offer Letter Is

A Business Contract Offer Letter is a formal written proposal setting out the principal terms for a commercial agreement between two parties. It typically identifies the offeror and offeree, summarizes the scope of work or goods, states price or payment terms, sets an acceptance deadline, and explains how acceptance is to be communicated. Offer letters may be unconditional or subject to negotiation and can be used as the basis for a binding contract once accepted and signed. Electronic signatures are generally acceptable under ESIGN (15 U.S.C. ch. 96) and state UETA laws.

Why Use a Business Contract Offer Letter

A clear offer letter reduces ambiguity, shortens negotiation cycles, and documents the parties’ intent. It creates an auditable record of the proposed terms and proposed timeline for acceptance, which helps prevent disputes and supports faster contract formation.
