Compliance Failures: Regulatory fines or sanctions

Common Mistakes to Avoid When Preparing the Contract

  • Using informal or colloquial names instead of exact legal entity names, which can create enforceability and identity issues.
  • Leaving payment schedules vague or conditional without clear milestones and acceptance criteria that trigger invoicing.
  • Failing to confirm the signer's authority or failing to attach a corporate resolution when required by the entity's governance documents.
  • Omitting dispute resolution or choice-of-law clauses; this can multiply costs and delay remedies if a cross-jurisdiction dispute arises.
