BUSINESS CONTRACT RENEWAL FORM

Recitals

WHEREAS, the parties entered into a written agreement entitled dated (the Original Agreement); and

WHEREAS, the parties desire to renew and amend certain terms of the Original Agreement on the terms set forth in this Renewal; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Renewal Scope

The Original Agreement is hereby renewed and extended as provided in this Renewal. The renewal applies only to the portions of the Original Agreement expressly identified in this document; all other provisions of the Original Agreement remain in full force and effect unless modified by this Renewal.

The parties agree the compensation under the renewed term shall be as follows:

Term and Termination

The renewed term shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Renewal for material breach by the other party if the breaching party fails to cure such breach within the notice period stated above. Termination shall not relieve either party of liabilities accrued prior to termination.

Confidentiality

For purposes of this Renewal, "Confidential Information" means non-public business, technical, financial and other proprietary information disclosed by one party to the other in connection with the Original Agreement or this Renewal. The receiving party shall: (a) maintain Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as required by law or as expressly permitted in writing; and (c) use Confidential Information solely to perform obligations under the Original Agreement and this Renewal.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than by breach of this clause; (ii) was rightfully known to the receiving party prior to disclosure; or (iii) is developed independently by the receiving party without use of the disclosing party's Confidential Information. Remedies at law may be inadequate for breach of confidentiality; the disclosing party shall be entitled to equitable relief in addition to other remedies.

Representations and Warranties; Compliance

Each party represents that it has the full corporate or organizational power and authority to enter into this Renewal and to perform its obligations hereunder. Each party shall comply with applicable laws, rules and regulations in performing its obligations under the Original Agreement and this Renewal.

Governing Law; Dispute Resolution

This Renewal shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles. The parties shall attempt in good faith to resolve disputes amicably. If informal resolution fails, disputes arising out of or relating to this Renewal shall be resolved by arbitration or litigation as agreed by the parties in writing.

Miscellaneous

Entire Agreement: This Renewal, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements regarding such subject matter. To the extent of any conflict between the terms of the Original Agreement and this Renewal, the terms of this Renewal shall control.

Amendment: No amendment or modification of this Renewal shall be effective unless in writing and signed by authorized representatives of both parties. Assignment: Neither party may assign its rights or delegate its duties under this Renewal without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all assets.

Severability: If any provision of this Renewal is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver: Failure to enforce any provision shall not constitute a waiver of that provision or the right to enforce it later.

Notices

All notices required or permitted under this Renewal shall be in writing and delivered to the addresses provided in the Parties section or to such other address as a party may designate in writing.

By signing below, each party certifies that the person signing on its behalf is duly authorized to execute this Renewal and that the party accepts and agrees to be bound by all provisions contained herein.
