BUSINESS CONTRACT UPDATE

This Business Contract Update (the Update) is made effective as of (Effective Date), by and between:

WHEREAS

WHEREAS, the parties entered into the Original Agreement identified above (the Original Agreement) on or about ; and

WHEREAS, the parties now desire to amend and update certain terms of the Original Agreement as set forth in this Update to reflect changes to scope, payment, and term; and

WHEREAS, except as expressly modified herein, all terms and conditions of the Original Agreement remain in full force and effect.

SCOPE OF WORK

The parties agree that the following scope supplements and replaces the previous scope described in the Original Agreement:

PAYMENT TERMS

The payment provisions of the Original Agreement are replaced in part as follows.

All invoices shall be payable within calendar days of receipt unless otherwise specified above. Payments not received when due shall accrue interest at the rate set forth above and the non-defaulting party may suspend performance upon thirty (30) days' written notice for material non-payment.

TERM AND TERMINATION

The Term of the Original Agreement is amended as follows.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall be without prejudice to any remedies that accrued prior to termination.

CONFIDENTIALITY

Each party shall hold Confidential Information of the other party in strict confidence and shall not disclose such information to any third party except as required to perform obligations under this Update or as required by law. "Confidential Information" means business, technical, financial, and other non-public information disclosed in connection with the Original Agreement and this Update. Confidentiality obligations shall survive termination of the Agreement for a period of years, except for trade secrets which shall be protected for as long as they qualify as trade secrets under applicable law.

Exceptions: Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving party’s possession prior to receipt from the disclosing party; (c) is lawfully obtained from a third party without breach of an obligation of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party’s Confidential Information.

GOVERNING LAW

This Update shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising out of or relating to this Update.

ENTIRE AGREEMENT

Except as expressly modified by this Update, the Original Agreement remains in full force and effect. This Update, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written, relating to that subject matter. To be effective, any further amendment to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

All notices required or permitted under this Update shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices shall be deemed given upon receipt when delivered in person, one (1) business day after deposit with a reputable overnight courier, or three (3) business days after deposit in the U.S. mail with first-class postage prepaid.
