BUSINESS CONTRACTING AGREEMENT

This Business Contracting Agreement (the Agreement) is entered into as of between the parties identified below.

WHEREAS, Client requires certain professional services and deliverables described herein; and

WHEREAS, Contractor represents that Contractor has the qualifications, experience, and ability to perform such services in accordance with the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows.

Scope of Work

Contractor shall perform the work, furnish labor, materials, equipment, and perform all tasks set forth in the scope below. Contractor shall perform such services in a professional manner consistent with industry standards.

Deliverables and Acceptance

Payment Terms

Client shall pay Contractor for the services performed in accordance with the schedule and amounts below. All sums are in lawful currency.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause by providing written notice to the other party at least days prior to termination. For material breach, the non-breaching party may terminate if the breach is not cured within days after written notice of such breach.

Confidentiality

Each party shall treat as confidential all non-public information designated as confidential or which, under the circumstances surrounding disclosure, ought to be treated as confidential. Confidential information shall not include information that is (a) publicly available through no fault of the receiving party; (b) already known to the receiving party without an obligation of confidentiality; or (c) independently developed without use of the disclosing party's confidential information. The receiving party shall not disclose such information except to employees or agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Upon termination or request, the receiving party shall return or destroy confidential information in its possession.

Intellectual Property

Unless otherwise agreed in writing, Contractor grants to Client a nonexclusive, perpetual, worldwide license to use deliverables created under this Agreement for Client's internal business purposes. Contractor shall retain ownership of Contractor's preexisting tools, methodologies, and intellectual property. To the extent deliverables qualify as works made for hire under applicable law, they shall be owned exclusively by Client. If any assignment is required to effectuate such ownership, Contractor hereby assigns all right, title and interest in such deliverables to Client.

Indemnification

Each party (the Indemnifying Party) shall indemnify, defend and hold harmless the other party from and against any third-party claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's gross negligence or willful misconduct in connection with the performance of this Agreement. The indemnifying party's obligations shall be subject to the indemnified party providing prompt written notice of the claim and reasonable cooperation in the defense.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties agree that disputes will first be submitted to good faith negotiation between senior representatives. If unresolved within 30 days, either party may pursue any available remedies in a court of competent jurisdiction in that state.

Entire Agreement

This Agreement, including any exhibits, schedules, and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets. If any provision is held invalid or unenforceable, the remainder shall continue in full force. Headings are for convenience only and do not affect interpretation.
