What a Business Control Letter Is and When It’s Used

A Business Control Letter is a written statement from an authorized representative confirming who controls, manages, or holds decision-making authority for a business or specific corporate account. Commonly requested by banks, vendors, auditors, and counterparties, the letter documents authorized signers, beneficial owners, and internal control points. It may accompany onboarding, account opening, due diligence, financing, or change-of-control transactions and is used to reduce ambiguity about who can legally bind the entity in contracts or transfers.

Why a Clear Business Control Letter Matters

A precise Business Control Letter reduces operational friction, supports regulatory and counterparty due diligence, and clarifies signature authority during transactions. It creates a clear record that third parties can rely upon when assessing risk or honoring instructions.

Why a Clear Business Control Letter Matters

Typical Users and Situations for a Business Control Letter

Use the letter whenever counterparties need a concise, documented statement of who may act on the business’s behalf.

  • Banks and financial institutions verifying account signatories and beneficial owners during onboarding and periodic reviews.
  • Vendors and payment processors confirming who may execute purchase orders, invoices, or payment instructions.
  • Internal legal, treasury, or compliance teams documenting authority after leadership changes or reorganizations.

Core Elements to Include in a Professional Business Control Letter

A complete Business Control Letter is concise but specific: identify the entity, list authorized individuals and roles, state the scope of authority, provide effective dates, and include signatures and contact verification details.

Names, titles, and limits of authority for persons authorized to sign contracts or instruct banks.

Statement of when the authority starts and, if applicable, when it ends or will be reviewed.

Supporting Evidence

Attach board resolutions, bylaws, articles of organization, or meeting minutes that confirm delegation.

Signature and Verification

Signed by an authorized officer with printed name, date, title, and verifier contact information.

Timing and Processing Expectations

Plan time for internal approvals, board minutes retrieval, notarization (if required), and third-party review when scheduling delivery of the letter.

Internal Approval Time:

Allow 3–10 business days for board or officer sign-off

Notarization Delay:

Add 1–5 business days if notarization or witness is required

Bank Review:

Banks may take 3–15 business days to accept and update accounts

Record Retention:

Keep original signed copies per legal retention rules

Common Preparation Mistakes to Avoid

  • Listing informal job titles instead of official officer titles, causing ambiguity about authority.
  • Failing to attach the authorizing board resolution or minutes that prove delegated authority.
  • Using unsigned or poorly authenticated electronic signatures, which some institutions may not accept.
  • Providing outdated effective dates or failing to state an expiration or review period for authority.
