BUSINESS CORE AGREEMENT

Parties and Effective Date

This Business Core Agreement ("Agreement") is made effective as of by and between:

Recitals

WHEREAS, Party A is in the business of providing core business services, including but not limited to strategic planning, systems integration, and operational support, and represents that it has the personnel, expertise, and resources required to perform the services contemplated by this Agreement; and

WHEREAS, Party B desires to retain Party A to provide specified business services described herein and Party A is willing to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the scope, compensation, confidentiality, and other terms governing their relationship with respect to the core services to be provided.

Scope of Work

Party A shall perform the services and deliver the deliverables described below. The services shall include all tasks reasonably necessary to accomplish the items set forth in the description.

Payment Terms

In consideration for the services performed by Party A, Party B shall pay Party A the fees and reimbursements set forth below. All payments are due in United States Dollars unless otherwise agreed in writing.

Invoices shall be submitted by Party A in accordance with the schedule set forth above. Payment is due within days of receipt of a properly submitted invoice.

Late payments shall accrue interest at the lesser of per month or the maximum rate permitted by applicable law. In addition to interest, Party A may suspend performance if payments are overdue by more than days following written notice.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Termination shall not relieve either party of obligations accrued prior to the effective date of termination, including payment for services performed and reimbursable expenses.

Confidentiality

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other, whether disclosed orally, visually or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes business plans, financial information, trade secrets, customer lists, pricing, and technical information.

Each party shall: (a) hold Confidential Information in strict confidence and use at least the same degree of care to protect it as it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement; and (c) not use Confidential Information for any purpose other than performing its obligations or exercising its rights under this Agreement.

The obligations of confidentiality shall continue for a period of years following the date of disclosure, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Intellectual Property and Work Product

Unless otherwise agreed in writing, all original materials, deliverables, and work product created by Party A specifically for Party B under this Agreement shall be deemed "Work Product." Upon full payment of fees due under this Agreement, Party A hereby assigns to Party B all right, title and interest in such Work Product, subject to Party A's retained rights to its pre-existing intellectual property and general methodologies. Party A may retain and use general know-how and lessons learned so long as no Confidential Information or Party B-specific Work Product is disclosed.

Indemnification and Limitation of Liability

Each party shall indemnify, defend, and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If the parties are unable to resolve the dispute within a reasonable period, either party may seek relief in a court of competent jurisdiction in the agreed governing state.

Entire Agreement; Amendment; Severability

This Agreement, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid provision that most closely effects the parties' intent.

The parties acknowledge that each has the authority to enter into this Agreement and that the individuals signing below are authorized representatives. Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship except as expressly set forth in writing.
