What the Business Core Test Is and Why It Exists

The Business Core Test is a standardized, multi-section business form used to verify organizational fundamentals, governance, and operational readiness for transactions, filings, or vendor onboarding. It typically collects legal entity details, ownership and authorized signer data, financial and tax identifiers, key operational contacts, and attestations about compliance or certifications. Organizations use it to ensure consistent due diligence across partners and to create a defensible record of representations. This version emphasizes clarity, required fields, signing roles, and electronic filing options suitable for ESIGN and UETA-compliant workflows.

Why Standardize with a Business Core Test

Completing a Business Core Test centralizes essential corporate data, reduces onboarding delays, and documents consent and authority for transactions. It supports regulatory compliance by creating an auditable record and clarifies signer roles, which helps reduce disputes and administrative rework.

Why Standardize with a Business Core Test

Who Prepares and Who Signs This Form

Typical users who prepare or complete the Business Core Test include in-house legal teams, finance departments, procurement, and vendor management specialists.

  • Legal counsel and compliance officers verifying authority, corporate status, and regulatory attestations during onboarding.
  • Finance and accounting teams confirming tax identifiers, bank details, and payment authorization for vendors.
  • Procurement and operations collecting contact information, service scopes, insurance, and performance metrics.

Organizations of all sizes use the form to standardize reviews and maintain a single authoritative record of business representations.

Core Sections to Include in a Professional Business Core Test

Core sections of the Business Core Test define identity, authority, financial identifiers, operational contacts, compliance attestations, and document execution details for clear, auditable records.

Authorized Signers

Financial IDs

Provide EIN, DUNS, bank routing and account numbers for payment, and remittance contacts; validate with the payer before first payment to prevent processing delays and ensure TIN matches IRS records to avoid backup withholding.

Common Preparation Mistakes to Avoid

  • Using an incorrect legal entity name or EIN leads to mismatched records, tax reporting errors, and potential backup withholding by payers.
  • Failing to list authorized signers with supporting resolutions causes signature challenges and delays when counterparties require proof of authority during contract execution.
  • Omitting required notarization or witness details for state-specific documents will invalidate execution in some jurisdictions and complicate record acceptance.
  • Sharing PDF copies without an audit trail or secure delivery increases dispute risk; include signed certificate, timestamps, and signer attribution for legal defensibility.
