What the Business Corporation Name is and why it matters

A Business Corporation Name is the official legal name a corporation registers with a state filing office when incorporating or reserving a name. It appears on the Articles of Incorporation, state records, bank accounts, tax filings, and contracts. Choosing and documenting a compliant name prevents rejection by the Secretary of State, reduces trademark conflicts, and establishes the entity’s legal identity for tax, licensing, and contract purposes. The registered name must meet state naming rules, be distinguishable from existing filings, and often must include a corporate identifier such as Corporation, Incorporated, Corp., or Inc.

Why a correct Business Corporation Name matters legally

Selecting and recording the correct Business Corporation Name creates the legal identity of the corporation, supports enforceable contracts, and avoids administrative refusal or later costly amendments.

Why a correct Business Corporation Name matters legally

Who typically prepares and files the Business Corporation Name

The Business Corporation Name is usually prepared by people creating or managing a corporation, including founders, corporate counsel, and registered agents.

Whoever prepares the filing must use the exact legal name on subsequent tax forms, bank accounts, and licenses to avoid mismatch issues.

Typical signers and their roles

Corporate Officer

An officer (president or secretary) often signs incorporation documents and certifies the Business Corporation Name. That signer confirms accuracy and corporate authority and may be required to attest under penalty of perjury when submitting formation papers.

Registered Agent

The registered agent provides a service address for official notices and may sign acknowledgements during filing. Their role ensures the state has a reliable contact for service of process and compliance notifications.
