Term and Termination

This Agreement commences on the Start Date below and continues until the correction is filed and accepted by the filing authority or until earlier termination in accordance with this section.

Either party may terminate this Agreement upon material breach by the other party that remains uncured following written notice and the expiration of the notice period set forth above. Termination shall not relieve Client of obligation to pay fees for work already performed.

Confidentiality

All non-public information disclosed by Client to Filing Agent in connection with the corrections, including supporting documentation, personnel data, and financial information, shall be deemed Confidential Information. Filing Agent shall protect such Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State selected below, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts of that State for disputes arising out of this Agreement.

Entire Agreement

This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
