Business Correspondence Template — General Business Agreement

This Business Correspondence Template Agreement ("Agreement") is made and entered into as of by and between Client Name: and Service Provider Name: .

Recitals

WHEREAS, Client requires professional business correspondence services including the preparation, review and delivery of formal letters, notices, proposals and related communications (the "Services"); and

WHEREAS, Provider represents that it has the experience, personnel, and resources necessary to provide the Services in a professional manner consistent with industry standards; and

WHEREAS, the parties desire to record the terms under which Provider will perform the Services and Client will compensate Provider.

Scope of Work

Provider shall prepare correspondence in accordance with Client instructions, inclusive of factual drafting, editing for tone and legal sufficiency where applicable, and delivery in agreed formats. Provider will maintain a record of drafts and revisions and will provide final deliverables in the format specified by Client.

Payment Terms

Invoices shall be issued in accordance with the Payment Schedule and are due within thirty (30) days of invoice date unless otherwise agreed in writing. Amounts unpaid after the due date shall bear interest at the rate specified above until paid in full. Client shall be responsible for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, will continue until End Date: .

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for ten (10) days following written notice of such breach. Upon termination, Provider shall deliver all completed work and reasonably requested work-in-progress to Client; Client shall promptly pay Provider for Services performed through the date of termination.

Confidentiality

The parties acknowledge that during performance they may disclose Confidential Information to one another. "Confidential Information" means non-public information disclosed in any form that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information. Confidential Information does not include information that: (a) is or becomes publicly known through no wrongful act of the receiving party; (b) is rightfully received from a third party without restriction; (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party is given prompt notice and an opportunity to seek protective measures.

Each party shall: (i) use Confidential Information only to perform its obligations under this Agreement; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; and (iii) restrict access to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Obligations of confidentiality survive for three (3) years following termination, except for trade secrets which shall remain protected for as long as they qualify as trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the competent courts located in that jurisdiction for the resolution of disputes arising out of this Agreement.

Notices

All notices, requests, consents and other communications required or permitted under this Agreement must be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, certified mail (return receipt requested), or by email with confirmation of receipt.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets provided such assignee assumes Provider's obligations.

Remedies: The rights and remedies provided in this Agreement are cumulative and in addition to any other rights or remedies available at law or in equity. The prevailing party in any dispute arising out of this Agreement shall be entitled to recover its reasonable attorneys' fees and costs.

Entire Agreement

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No amendment or modification of this Agreement will be binding unless executed in writing by authorized representatives of both parties.
