Either party may terminate this agreement for convenience upon written notice to the other party delivered not less than days prior to termination. CONFIDENTIALITY

Each party agrees to treat all non-public information disclosed by the other party in connection with this counter document as confidential and to use such information solely for purposes of performing obligations under this agreement. Confidential information excludes information that is or becomes generally known to the public through no breach of this agreement, is independently developed without use of the other party's confidential information, or is rightfully obtained from a third party without restriction. The obligations of confidentiality shall survive termination for a period of years from the Effective Date.

GOVERNING LAW

This counter document shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this agreement, subject to any mandatory statutory protections.

ENTIRE AGREEMENT; AMENDMENT

This counter document, together with any documents expressly incorporated herein by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Neither party may assign its rights or delegate its duties under this agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld, except that either party may assign to an affiliate or in connection with a sale of substantially all of its assets or equity.

ACKNOWLEDGMENT AND ACCEPTANCE

Receiving Party shall accept or reject this counter proposal in writing no later than the Acceptance Deadline provided above. Acceptance shall be effected by signing and returning a copy of this document to Proposing Party or by execution in the signature block below.

If Receiving Party accepts with modifications, such acceptance shall be accompanied by a clear, itemized list of proposed changes; absent Proposing Party's express written agreement to such changes, any modification constitutes a counter proposal.
