Confidentiality

Each Party acknowledges that in connection with this engagement it may receive Confidential Information of the other Party. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. The receiving Party shall: (a) hold such Confidential Information in strict confidence; (b) not disclose it to any third party except to employees, agents, or permitted subcontractors who have a need to know and who are bound to maintain confidentiality; and (c) use it solely for the purposes of performing under this Agreement.

Confidentiality obligation duration: from the date of disclosure, except for trade secrets which shall be protected for as long as they retain trade-secret status.

Representations, Warranties, and Liability

Each Party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Neither Party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, except for breaches of confidentiality, willful misconduct, or gross negligence. The aggregate liability of each Party arising out of or related to this Agreement shall not exceed the total amounts paid to Provider under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The Parties consent to personal jurisdiction in that State for purposes of any dispute arising under this Agreement.

Entire Agreement; Amendment

Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party, except that either Party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
