Scope of Work

The Service Provider shall perform the services and provide deliverables described below. The scope is intended to be the primary description of work to be performed; any material changes shall be agreed in writing.

Payment Terms

Compensation for the services shall be as set forth below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law and the Service Provider may suspend performance for payments more than days overdue following written notice.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least Notice Period (days): days prior to the effective termination date. A material breach that remains uncured for 30 days after written notice shall permit the non-breaching party to terminate immediately.

Confidentiality

Each party shall maintain the confidentiality of the other party's Confidential Information and shall not use or disclose such information except as required to perform obligations under this Agreement or as required by law. Confidential Information excludes information that is or becomes publicly known through no breach by the receiving party, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Governing State/Province: without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising under this Agreement.

Entire Agreement

This Business Cover Page together with any referenced exhibits and attachments constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, representations, and agreements, whether written or oral. No modification shall be effective unless made in writing and signed by authorized representatives of both parties.

Notices

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth on this cover page or to such other address as either party may designate by written notice. Notices shall be deemed given upon personal delivery, confirmed electronic transmission, or two business days after deposit with a nationally recognized courier service.
