WHEREAS: Whereas the Client desires to engage the Contractor to perform the work described below under the terms set forth in this Cover Sheet and the attached Scope of Work; and Whereas the Contractor represents that it is qualified and willing to perform such services in accordance with applicable law and industry standards; and Whereas the parties intend that this Cover Sheet, together with the attached documents identified above, shall constitute the binding agreement between them.

Scope of Work

The Contractor shall perform the work described in the attached Scope of Work and any documents incorporated herein by written reference. The Scope below sets the primary deliverables; the parties may modify the Scope only by a written change order signed by authorized representatives of both parties.

Payment Terms

Compensation shall be as set forth below. Invoices shall reference the Project Reference Number; payment is due in accordance with the schedule specified. All amounts are stated in U.S. dollars unless otherwise agreed in writing.

Invoices are payable net 30 days from invoice date unless otherwise stated. Late payments shall incur interest at the rate specified below plus reasonable collection costs.

Term and Termination

This Agreement commences on the Start Date below and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure within the specified cure period after written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment for work performed.

Confidentiality

Each party acknowledges that it may receive Confidential Information of the other. "Confidential Information" means non-public business information disclosed in whatever form that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information. The receiving party shall (a) maintain confidentiality, (b) use Confidential Information solely to perform obligations under this Agreement, and (c) limit disclosure to those employees, agents, or subcontractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidentiality obligations do not apply to information that is public through no fault of the recipient, independently developed, lawfully received from a third party, or required to be disclosed by law or order of a court, provided the disclosing party is given prompt notice where lawful and practicable and the disclosure is limited to the extent required.

Representations; Compliance

Each party represents that it has the full corporate or individual authority to enter into this Agreement and that performance under the Agreement will comply with all applicable laws, rules and regulations. The Contractor shall maintain appropriate insurance and licenses required for performance and shall provide certificates of insurance upon reasonable request.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation between authorized representatives. If unresolved, disputes shall be resolved in the state or federal courts located in the specified governing state, and each party consents to the exclusive jurisdiction and venue of such courts.

Entire Agreement; Amendments

This Cover Sheet together with the attached Scope of Work, payment schedule, and any executed change orders constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior negotiations, proposals and agreements, whether written or oral. No amendment or waiver shall be effective unless made in writing and signed by authorized representatives of both parties.
