General Business Agreement — Recitals

This General Business Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: (the Client) and Service Provider Name: (the Provider).

WHEREAS, the Client desires to obtain certain services described herein and the Provider has represented that it has the expertise and capacity to perform such services; and

WHEREAS, the parties desire to establish the terms and conditions under which the Provider will perform services for the Client and to memorialize the attachments and documentation accompanying this Coversheet.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Scope of Work

The Provider shall perform the services described in the Detailed Scope in a professional and workmanlike manner consistent with industry standards. Any material change to the Scope of Work shall require written amendment signed by both parties.

Payment Terms

Payments are due in accordance with the Payment Schedule. Unless otherwise agreed in writing, invoices are due within the number of days stated in the schedule following receipt. Late payments shall accrue a late fee of on the unpaid balance, plus all reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing Notice Period (days): days' prior written notice to the other party. Either party may terminate for material breach if the breach is not cured within 30 days after written notice specifying the breach. Termination shall not relieve the Client of the obligation to pay for services performed and reimbursable expenses incurred prior to termination.

Confidentiality

Each party agrees to hold in confidence and not to disclose, disseminate or use any Confidential Information of the other party except as reasonably necessary to perform its obligations under this Agreement. Confidential Information does not include information that: (a) is or becomes generally known to the public through no wrongful act of the receiving party; (b) was in the receiving party's possession prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction of the courts located in that State for any disputes arising out of this Agreement.

Entire Agreement

This Agreement, together with any attachments listed on this Coversheet and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
