BUSINESS CPN ASSIGNMENT AGREEMENT

WHEREAS, Issuer operates and administers a Business Commercial Partner Number system ("CPN System") used to assign a unique CPN to registered businesses for internal identification, vendor management, and contract administration; and

WHEREAS, Applicant has applied to obtain an assigned Business CPN and represents that the information provided below is true, complete and will be used only for lawful business identification and contractual purposes and not for the purpose of misleading third parties or evading statutory requirements.

WHEREAS, Issuer is willing to assign a Business CPN to Applicant subject to the terms and conditions set forth in this Agreement.

Scope of Work

Applicant agrees to pay Issuer a fee for assignment and administrative services as set forth below.

Term and Termination

This Agreement shall commence on the Effective Date and remain in effect for the Term unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above. Termination does not relieve Applicant of obligations to pay fees accrued prior to termination or to return any CPN materials.

Confidentiality

Each party shall hold in strict confidence all non-public information provided by the other party that is designated confidential or that a reasonable person would understand to be confidential, including the assigned CPN and any related account configuration. Confidential information shall not be disclosed to third parties except as required by law or as necessary to perform obligations under this Agreement, and then only with prior written notice where permitted.

Applicant further certifies that the assigned CPN will not be used to misrepresent identity, to avoid statutory obligations, to defraud consumers or creditors, or to otherwise violate applicable law. Issuer may revoke any assigned CPN upon discovery of misuse or material misrepresentation.

Representations and Warranties

Applicant represents and warrants that all information submitted in connection with this Agreement and the CPN request is true, complete and not misleading. Applicant agrees to notify Issuer promptly in writing of any material change to such information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to choice-of-law principles that would apply the laws of another jurisdiction.

Entire Agreement

This Agreement, including any schedules and attachments executed contemporaneously herewith, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing signed by both parties.
