BUSINESS CR TEMPLATE

This General Business Agreement (the Agreement) is entered into as of (Effective Date) between , located at (Company), and , located at (Contractor). Company and Contractor are collectively referred to as the Parties.

WHEREAS

WHEREAS, Company is engaged in the business of providing business operations, advisory services, and related commercial activities; and

WHEREAS, Contractor represents that Contractor has the experience, capability, and personnel necessary to perform the services described in this Agreement; and

WHEREAS, the Parties desire to set forth their rights and obligations with respect to the services, payment, confidentiality, and other matters set forth herein.

SCOPE OF WORK

Contractor shall perform the services described below and any ancillary tasks reasonably necessary for the completion of such services in accordance with the standards and schedules agreed by the Parties.

PAYMENT TERMS

As consideration for the services rendered by Contractor, Company shall pay Contractor in accordance with the terms set forth below. All amounts are payable in U.S. dollars unless otherwise specified.

Any undisputed invoice not paid within days of receipt shall accrue interest at a rate of percent per month (or the maximum lawful rate, if less). In addition, Company shall reimburse Contractor for reasonable collection costs, including attorneys' fees, incurred in connection with overdue payments.

TERM AND TERMINATION

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure the breach within the notice period set forth above. Either Party may terminate for convenience upon the delivery of the required notice and payment for all services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

During the term of this Agreement and for thereafter, each Party shall hold in strict confidence and not disclose to any third party any Confidential Information of the other Party. Confidential Information means non-public business, technical, or financial information disclosed in oral, written, or electronic form. Confidential Information does not include information that (i) is or becomes publicly available through no fault of the receiving Party, (ii) is received from a third party having the right to disclose it, or (iii) is independently developed without use of the disclosing Party’s Confidential Information.

Upon termination or upon written request, the receiving Party shall promptly return or, at the disclosing Party’s election, destroy all Confidential Information and certify such destruction in writing.

INDEMNIFICATION

Each Party (Indemnifying Party) shall indemnify, defend and hold harmless the other Party and its officers, directors, and employees (Indemnified Party) from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the Indemnifying Party’s gross negligence, willful misconduct, or material breach of its obligations under this Agreement.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or indemnification obligations, in no event shall either Party be liable for incidental, consequential, special, punitive, or exemplary damages, and each Party's aggregate liability for any and all claims arising out of this Agreement shall be limited to direct damages not to exceed the total amounts paid or payable to Contractor under this Agreement in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in such state for resolution of disputes.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other, except that a Party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control, provided the assignee assumes all obligations.

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and addressed to the Parties at the addresses set forth below (or at such other address that a Party may specify in writing).
