What the Business Creation Form Is and when it’s used

The Business Creation Form is a standardized document used to gather the information needed to form a new business entity, register for tax and licensing purposes, and record ownership and management details. It typically collects entity name, formation type (LLC, corporation, partnership), registered agent, principal address, ownership percentages, and the effective date. Producers use the form to prepare Articles of Organization/Incorporation and to request an EIN; many organizations also use a single internal Business Creation Form to collect all data before filing state forms or submitting to professional advisors. Electronic execution is generally valid under ESIGN and UETA.

Why a clear Business Creation Form matters

A complete Business Creation Form reduces filing delays, ensures consistent entity records, and clarifies ownership and signing authority for banking and tax purposes.

Configuring an online completion workflow

When building an online workflow, set required fields, signer order, and verification methods to match legal and operational needs.

Field Configuration
Required Fields Mark Entity Name, Registered Agent, and Signatures as mandatory
Signer Order Set founders first, then legal reviewer, then filing agent
Authentication Email or SMS code; use stronger ID proofing for notarization
Retention Enable PDF archival and audit trail storage

Digital signing and technical considerations

Ensure the platform can produce a tamper-evident signed PDF, capture timestamps and IP addresses, and store an auditable certificate of completion.

  • File formats: PDF and DOCX supported
  • Integrations: Works with Google Workspace and NetSuite
  • Security: TLS 1.2/1.3 and AES-256 encryption

Common timelines and filing expectations

Timing depends on state processing, chosen service level, and whether expedited filing is used; expect to coordinate tax and regulatory registrations after formation.

State Filing:

Processing varies by state and service; check Secretary of State options

EIN Issuance:

EINs issued immediately online by the IRS for most applicants

Tax Registrations:

Register for state payroll and sales tax accounts after formation

Operating Agreement:

Execute internally at formation or within initial governance period

Business Licenses:

Local licenses may require additional weeks for approval

Common mistakes to avoid when preparing the form

  • Using a DBA or trade name in place of the legal entity name causes state rejection or later bank issues.
  • Entering incomplete ownership percentages or omitting capital contributions leads to governance disputes later.
  • Failing to designate a proper registered agent with a physical address can delay service of process.
  • Leaving signature blocks unsigned or mismatching signer titles invalidates execution for banks and vendors.
