Applicant certifies that the information provided in this application is true, correct and complete. Applicant authorizes the Creditor to obtain and verify credit reports and trade references and to exchange credit information with suppliers, credit reporting agencies and collection agents as necessary to evaluate and manage the account. Applicant agrees that submission of this application does not guarantee approval and that Creditor may require additional documentation.

If credit is extended, Applicant agrees to pay invoiced amounts according to the terms stated by Creditor. Unless otherwise agreed in writing, invoices are due within the agreed payment period. Past due balances are subject to a late charge of the lesser of 1.5% per month or the maximum lawful rate, plus collection costs and attorneys' fees if collection is necessary. Applicant grants Creditor a security interest in all goods, inventory and proceeds supplied until all obligations are paid in full.

Applicant further warrants that it has authority to request credit and bind the business. Applicant authorizes banks and trade references listed on this form to release account information to Creditor. This authorization survives termination of any account and remains in effect for the duration of any indebtedness.

Personal Guarantee: If a personal guarantee is required by Creditor, signatory below consents to be personally liable for payment of amounts due, including interest and collection costs. Creditor may request a separate written guarantee when necessary.

Representations & Governing Law

Applicant represents that no bankruptcy petition has been filed by or against Applicant within the last seven years and that Applicant is not aware of any circumstances or events that would materially impair its ability to perform under the terms of credit. These representations are true and accurate as of the date of signature.

This application and any resulting credit agreement shall be governed by the laws of the state specified by Creditor and exclusive venue shall lie in the state and federal courts of that jurisdiction. Any dispute arising under or related to this application or account shall be resolved in accordance with those laws.

Entire Agreement and Notices

These terms, together with any account opening documents and invoices, constitute the entire agreement between Applicant and Creditor concerning credit and supersede any prior agreements or understandings. Notices shall be effective when delivered in writing to the addresses provided by Applicant or as otherwise specified in a written credit agreement.
