BUSINESS CREW DEAL

This Business Crew Deal (the Agreement) is made effective as of between Production Company: located at , and Crew Member: located at .

WHEREAS

WHEREAS, Production Company is engaged in the business of producing audio, visual or live events and requires qualified crew services for designated productions; and

WHEREAS, Crew Member represents that they have the experience, skills and resources to perform the services described in this Agreement and agrees to provide such services under the terms set forth below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF WORK

Crew Member shall perform the services described above in a professional manner in accordance with industry standards and any reasonable directions provided by Production Company. Crew Member shall provide their own tools and equipment unless otherwise agreed in writing.

2. PAYMENT TERMS

Unless otherwise agreed in writing, Production Company will pay amounts due within days of receipt of a proper invoice from Crew Member. Invoices shall be sent to Notice Address for Production Company as set forth below.

3. TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing days written notice to the other party. Production Company may terminate immediately for cause if Crew Member materially breaches this Agreement and fails to cure within 5 days of written notice.

Upon termination, Production Company shall pay Crew Member for all services performed through the effective termination date, subject to set off for any amounts owed by Crew Member.

4. CONFIDENTIALITY

Crew Member agrees that during the term of this Agreement and for a period of after termination, Crew Member will not disclose or use Confidential Information of Production Company except as required to perform the services. "Confidential Information" includes non-public production materials, personnel information, budgets and technical specifications but does not include information that is or becomes publicly available through no fault of Crew Member, or is independently developed by Crew Member without use of Confidential Information.

Crew Member shall return or destroy Confidential Information upon Production Company's request and certify such return or destruction in writing.

5. STATUS; INSURANCE; INDEMNITY

Crew Member shall perform services as an independent contractor and not as an employee of Production Company. Crew Member is responsible for all taxes, benefits and withholdings.

Production Company requires that Crew Member maintain, at Crew Member's expense, appropriate general liability and workers' compensation insurance as applicable. Indicate insurance confirmation:

Crew Member shall indemnify, defend and hold harmless Production Company from and against any claims, liabilities or expenses arising from Crew Member's negligence or willful misconduct in performing the services, except to the extent caused by Production Company's gross negligence or willful misconduct.

6. INTELLECTUAL PROPERTY; WORK PRODUCT

All work product, deliverables and materials produced by Crew Member specifically for Production Company under this Agreement shall be deemed "work made for hire" and assigned to Production Company. To the extent any rights do not automatically vest, Crew Member hereby irrevocably assigns all right, title and interest in such work product to Production Company and agrees to execute documents reasonably required to effectuate such assignment.

7. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to choice-of-law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located within that state, and the parties consent to venue and jurisdiction therein.

8. ENTIRE AGREEMENT

This Agreement, including all attachments and exhibits explicitly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

9. NOTICES

Notices under this Agreement shall be given in writing to the addresses below or such other address as a party designates in writing:

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation. Remedies provided herein are cumulative and not exclusive.
