WHEREAS

WHEREAS, the Service Provider possesses expertise in providing business consulting, advisory services, and related professional services and is willing to provide such services to the Client on the terms and conditions set forth in this Agreement;

WHEREAS, the Client desires to retain the Service Provider to perform certain services and the Service Provider agrees to perform those services under the terms of this Agreement;

WHEREAS, the parties intend by this Agreement to define the scope, payment terms, confidentiality obligations, and other terms governing their business relationship.

Scope of Work

The Service Provider shall perform the services described below in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

As consideration for the Services, the Client shall pay the Service Provider the fees and on the schedule set forth below.

If any undisputed amount due is not paid within days after the invoice due date, the Client shall pay interest at the lesser of (i) % per month or (ii) USD as a late fee, plus reasonable collection costs and attorneys' fees.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose or use any Confidential Information of the other party (the "Disclosing Party") except as required to perform under this Agreement. "Confidential Information" means nonpublic information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financial information, customer lists, methodologies, trade secrets, and proprietary materials. Confidential Information does not include information that (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or valid legal process, provided the Receiving Party gives prompt written notice and cooperates in any lawful attempt by the Disclosing Party to limit such disclosure.

Independent Contractor; Intellectual Property

The Service Provider is an independent contractor and not an employee, agent, or partner of the Client. Except as otherwise agreed in writing, the Service Provider retains ownership of its background intellectual property and tools; the Client will own all deliverables created specifically for the Client upon full payment, subject to any third-party licenses and the Service Provider's retained rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as either party may specify in writing. Notices are effective upon receipt.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a sale of substantially all of its assets. The waiver of any breach shall not be deemed a waiver of any subsequent breach.
