BUSINESS CONSULTING SERVICES AGREEMENT

This Business Consulting Services Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing business consulting, strategy, and implementation services and possesses the experience and personnel necessary to provide such services; and

WHEREAS, Client desires to retain Service Provider to perform consulting services on the terms and conditions set forth in this Agreement, and Service Provider is willing to provide such services under the terms set forth herein.

SCOPE OF WORK

Service Provider shall provide consulting services as described below. The parties may agree in writing to add, remove or modify tasks and deliverables. Any material change to scope that materially increases Service Provider's costs or time to perform shall be subject to an amendment executed by both parties.

PAYMENT TERMS

Client shall pay Service Provider for services performed in accordance with the following fee schedule and payment provisions.

Late fee shall accrue from the date payment is due at the stated annual rate or the maximum rate permitted by applicable law, whichever is lower, plus all costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

Term: This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for fifteen (15) days after written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination and for any non-cancellable obligations incurred by Service Provider in connection with performance.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" shall include non-public business, technical, financial and other proprietary information disclosed in any form. Each receiving party shall: (a) hold Confidential Information in strict confidence and use at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information solely for performance under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents or subcontractors who need access to perform this Agreement and who are bound to protect the information under terms at least as restrictive as this Agreement.

Confidential Information does not include information that: (i) is or becomes generally available to the public through no fault of the receiving party; (ii) was rightfully in the receiving party's possession prior to disclosure; (iii) is lawfully received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information. The obligations of confidentiality survive termination for a period of three (3) years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

LIMITATION OF LIABILITY

Except for liability arising from a party's willful misconduct or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages, even if advised of the possibility of such damages. The aggregate liability of either party for any claim arising out of this Agreement shall be limited to the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all Schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and executed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses specified below or to such other address as a party may designate by written notice. Notices are effective on receipt.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties are independent contractors, and nothing in this Agreement shall be construed to create a partnership, joint venture, employment relationship, or agency relationship. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets.
