What the Business DACC Template Is

The Business DACC Template is a standardized business agreement template used to document delegated authority, account control, and consent for corporate or operational actions. It records who is authorized to act, the scope and limits of that authority, effective dates, and any conditions for revocation. The template is designed to be adaptable across industries and to support both paper and electronic execution while preserving an auditable trail of approvals and revisions for corporate records and compliance.

Step-by-step: Completing the Business DACC Template

Complete the template in sequence to maintain clarity and ensure each authority element is documented and authorized.

  • 01
Prepare Entity Data: Gather legal name, EIN, and governing documents.
  • 02
Define Authority: Specify powers, limits, and financial caps.
  • 03
Obtain Approvals: Collect board or officer approvals as required.
  • 04
Sign and Record: Execute, notarize if required, and file in corporate records.

Why Use the Business DACC Template

A clear Business DACC Template minimizes operational ambiguity, supports third-party acceptance (banks, vendors), and creates an auditable record of delegated authority that helps with internal control and regulatory compliance under state corporate law, ESIGN and UETA for electronic execution.

Why Use the Business DACC Template

Who Typically Prepares and Signs This Template

The template is used by corporate officers, authorized managers, legal teams, and external service providers to document delegated powers.

  • Corporate officers and directors responsible for delegating authority within bylaws or board resolutions
  • Finance and treasury teams when authorizing bank account access or payment approval limits
  • Legal or compliance teams for review and incorporation into corporate recordkeeping

Use the following roles as a checklist when routing the template for internal approval and external acceptance.

Essential Sections Every Business DACC Template Should Include

A professional template balances clarity, enforceability, and administrative detail so parties and third parties can rely on the document with minimal follow-up.

Authority Clause

Clearly state who is authorized and the exact powers granted, including monetary limits, contractual scope, and any excluded activities to prevent ambiguity.

Identification

Include legal entity details, EIN, address, and authorized signer identification to support validation by banks and counterparties.

Effective and Expiry Dates

Specify when authorization begins and ends or conditions triggering termination, including automatic expiration or renewal terms.

Revocation Procedure

Describe how the authorization can be revoked, required notice, and how revocation will be communicated to third parties.

Notarization & Witnessing

Note whether notarization or witness signatures are required by state law or third-party policy for acceptance.

Recordkeeping

Provide instructions for filing, retention, and how to store executed copies securely to meet audit and regulatory needs.

Security and Compliance Elements to Include

Encryption in Transit: TLS 1.2/1.3
Encryption at Rest: AES-256 storage
Audit Trail: Timestamps and IP logs
HIPAA Readiness: BAA available
Authentication: SMS, email, or KBA
Certifications: SOC 2 Type II

Key Risks and Potential Consequences

Unauthorized Acts: Liability for invalid transactions
Bank Rejection: Accounts or requests denied
Tax Exposure: Backup withholding triggers
Regulatory Fines: Noncompliance penalties
Contractual Disputes: Enforceability challenges
Recordkeeping Failures: Audit or litigation risk

Common Preparation Mistakes to Avoid

  • Using shorthand or acronyms for the legal entity name, which can prevent banks or partners from matching records and delay acceptance.
  • Failing to specify monetary thresholds or limits, creating ambiguity about whether a signer has authority for high-value transactions.
  • Not recording board or shareholder approvals when required by bylaws; this can render the authorization ineffective against third parties.
  • Skipping notarization or witness steps where state law or counterparty policy requires them, leading to rejection by banks or registries.
