What a Business DAF Agreement Covers

A Business DAF Agreement documents the relationship between a corporate donor and the sponsoring public charity that will administer a donor-advised fund (DAF). The agreement typically explains the initial gift, the donor entity and authorized advisors, investment and distribution guidelines, and any conditions or restrictions on grant recommendations. It sets expectations about tax substantiation, reporting, and the sponsor's acceptance or refusal rights, and it clarifies whether the donor retains advisory privileges or transfers discretion. The document is commonly used by corporations, LLCs, and family offices when establishing a DAF for philanthropic giving.

Why a Carefully Drafted Agreement Matters

A clear Business DAF Agreement reduces ambiguity about tax treatment, grant control, and administrative fees, and it protects both the donor and the sponsoring organization by documenting responsibilities, timing, and dispute resolution.

Why a Carefully Drafted Agreement Matters

Who Typically Prepares or Signs This Agreement

Businesses, philanthropic advisors, and sponsoring charities commonly prepare or review Business DAF Agreements to establish mutual expectations before funds are accepted.

  • Corporate Giving Teams — Finance and legal staff who authorize the initial contribution and set advisory rules for grant recommendations.
  • Sponsoring Charities — Foundation or public charity administrators who accept the fund, manage investments, and process grants.
  • Advisors and Trustees — External advisors, family office representatives, or board members who will recommend grants and track compliance.

Parties often involve tax counsel or philanthropic advisors to confirm deduction treatment and to ensure the sponsor’s policies align with the donor’s objectives.

Typical Signatories and Roles

Corporate Counsel

An in-house or outside attorney who reviews legal terms, confirms tax-advantaged treatment, and ensures that the agreement complies with corporate governance rules and conflict-of-interest policies.

Sponsoring Officer

An authorized officer of the sponsoring public charity who accepts the fund, explains administrative policies and fees, and certifies the donor’s advisory privileges within the organization’s charitable discretion.

Essential Clauses to Include

A professional Business DAF Agreement should be concise but comprehensive, covering governance, donations, investment, distribution terms, and administrative mechanics to avoid disputes and to document tax substantiation.

Parties

Identify the donor entity by legal name and EIN, the sponsoring charity by legal name and tax-exempt status, and any named advisors or successor stewards of the fund.

Gift Description

Detail the initial and any scheduled contributions, asset types (cash, securities, real property), and the date funds are considered irrevocably transferred to the sponsor's control.

Advisory Rights

Describe the donor’s power to recommend grants, any restrictions on recipients, and the sponsor’s discretion to accept or refuse recommendations consistent with charitable law.

Investment Policy

State how assets will be invested, who sets the investment policy, performance reporting frequency, and whether investment gains are credited to the donor’s sub-account.

Fees and Expenses

Disclose administrative, investment, and transaction fees, billing methods, and whether fees are deducted from the fund or billed separately to the donor.

Tax and Recordkeeping

Confirm the sponsor’s provision of written acknowledgement for tax purposes and outline record retention, reporting timelines, and any donor substantiation requirements.

Stepwise Process to Complete the Agreement

Follow these sequential steps to prepare, review, and execute a Business DAF Agreement so the sponsor can accept the fund without administrative delay.

  • 01
Prepare Draft: Populate parties, gift details, and advisory terms.
  • 02
Legal Review: Have tax counsel confirm deduction and transfer language.
  • 03
Sponsor Acceptance: Submit to the sponsoring charity for policy review and signature.
  • 04
Execute Records: Sign, date, and distribute copies to donor and sponsor; retain originals for tax records.

How the Agreement Functions in Practice

The agreement coordinates donor intent, sponsor authority, and administrative mechanics so funds move from corporate accounts into charitable distribution processes.

  • Transfer of Assets: Donor transfers assets per wiring or transfer instructions.
  • Acceptance Criteria: Sponsor confirms compliance with charitable purposes and asset type acceptance.
  • Advisory Cycle: Donor submits grant recommendations in writing or online per sponsor policy.
  • Distribution: Sponsor reviews and issues grants to approved charities.

Digital Workflow Configuration for Agreement Processing

Configure an online workflow to collect signatures, supporting documents, and to route approvals efficiently between corporate and sponsor teams.

Field Configuration
Signatures Sequential signing: donor then sponsor with date fields
Attachments Allow upload: brokerage statements, valuation memos
Notifications Email alerts to finance, legal, and sponsor admin
Audit Trail Capture timestamps, IP, and signer authentication

Technical Considerations for eSigning and Storage

Ensure the chosen eSignature and document storage platform supports required authentication, preserves audit logs, and meets applicable compliance standards.

  • File Formats: PDF, DOCX supported
  • Integrations: Connectors for NetSuite, Salesforce, Microsoft 365
  • Authentication: Email, SMS code, or advanced methods

For HIPAA or high-sensitivity donor records, confirm the vendor offers a Business Associate Agreement and encryption in transit and at rest.

Key Timing and Reporting Deadlines

Track these deadlines to preserve tax benefits and to meet sponsor reporting obligations related to donations and grant distributions.

Tax Year of Donation:

Donor claims deduction for the year the contribution is irrevocably transferred to the sponsor.

Acknowledgement Timing:

Obtain written acknowledgement from the sponsor timely to support deduction claims.

Grant Recommendation Window:

Follow sponsor deadlines for submitting grant recommendations for a given fiscal quarter.

Form 8283 Filing:

For non-cash gifts over $5,000, ensure donor obtains proper appraisal documentation.

Annual Reporting:

Sponsor provides periodic statements; retain for IRS and internal records.

Typical Agreement Milestones

A Business DAF Agreement follows distinct milestones from initial intent through fund administration and grant execution.

01

Intent to Establish

Donor expresses intent and provides initial documentation.

02

Gift Transfer

Assets are transferred to the sponsor and accepted into the fund.

03

Activation & Investment

Sponsor allocates assets per investment policy and opens sub-account reporting.

04

Grant Execution

Donor recommendations are reviewed and distributions are issued.

Common Pitfalls to Avoid

  • Leaving advisory instructions vague, which can result in rejected grant recommendations or disputes with the sponsor over permissible recipients.
  • Failing to confirm asset transfer timing; late transfers can shift the deduction into a different tax year and create reporting mismatches.
  • Omitting EIN or using an incorrect donor legal name, causing delays in processing or incorrect tax acknowledgements for the donor.
  • Not documenting fee arrangements or administrative charges, which can lead to unexpected deductions or billing disputes with the sponsoring organization.

Consequences of an Incorrect or Incomplete Agreement

Tax Deduction Risk: Loss of deduction
IRS Scrutiny: Audit exposure
Rejected Grants: Fund restrictions enforced
Administrative Fees: Unexpected charges
Recordkeeping Failures: Penalties for missing records
Reputational Harm: Donor-sponsor disputes

Practical Tips for Accurate and Efficient Completion

Adopt these practices to reduce processing delays, avoid disputes, and ensure consistent recordkeeping for Business DAF Agreements.

Use Precise Asset Language
Describe contributed assets with exact terms (e.g., number of shares, CUSIP, transfer date) to ensure correct acceptance and valuation for tax reporting and to prevent settlement issues.
Confirm Corporate Authority
Obtain board resolution or delegated authority documentation when a business makes the gift to demonstrate the transaction was authorized under corporate governance rules.
Document Fee Arrangements
Include explicit fee schedules and payment handling in the agreement so the donor understands administrative deductions versus fund disbursements.
Preserve Digital Audit Trails
When using eSignature tools, ensure the platform captures timestamps, signer attribution, and IP addresses to support legal enforceability and audit needs.
