Confidentiality

The parties acknowledge that in connection with the validation services each party may disclose Confidential Information. Confidential Information means non-public information reasonably understood to be confidential. The Validator shall: (a) use Confidential Information solely to perform the validation; (b) restrict access to employees and agents who have a need to know; and (c) not disclose such information to third parties except as required by law. The obligations of confidentiality shall survive termination of this agreement for a period of three years.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of law principles.

Entire Agreement

This document, together with any attachments and schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

The Validator certifies that the validation procedures were performed in good faith and that findings reported are accurate to the best of the Validator's knowledge based on the records and sources examined. The Validator does not warrant future accuracy of validated data beyond the date of validation and is not responsible for undisclosed information or documents not provided by the Client.
