Recitals

WHEREAS, Provider Name is engaged in the business of providing professional services and resources described herein and has the capacity and experience to perform the services requested; and

WHEREAS, Client Name desires to retain Provider Name to perform services on the terms set forth in this Business Date Document; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

All payments shall be made in lawful currency, unless otherwise agreed in writing, and Provider shall invoice Client in accordance with the Payment Schedule. Client shall pay undisputed invoices within the period specified above. Late payments shall accrue interest at the stated Late Fee or, if no rate is stated, at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breach remains uncured for a period of thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose or use any Confidential Information of the other party (the "Disclosing Party") except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public financial, technical, commercial, and business information disclosed in any form. Confidentiality obligations shall not apply to information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was lawfully known to the Receiving Party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the Disclosing Party's Confidential Information.

The obligations in this section shall survive termination or expiration of this Agreement for a period of years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

Representations, Entire Agreement

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. The persons signing this Agreement have been duly authorized by their respective parties.

This Agreement, together with any attachments and written exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, and negotiations. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

General Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any other breach or default.
