Each party (the Receiving Party) shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party (the Disclosing Party). "Confidential Information" includes non-public business dates, financial terms, technical data, customer lists and other proprietary information disclosed in writing or identified as confidential at the time of disclosure. The Receiving Party shall use Confidential Information solely for the performance of this Agreement and shall take reasonable measures to protect such information from unauthorized disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the courts located within that State, and the parties hereby submit to the exclusive jurisdiction of such courts.

ENTIRE AGREEMENT
