Each party (the "Receiving Party") shall hold in strict confidence all non-public, proprietary or confidential information disclosed by the other party (the "Disclosing Party"), including business plans, financial information, customer lists, trade secrets and technical data ("Confidential Information"). The Receiving Party shall not disclose Confidential Information to any third party except on a need-to-know basis to perform under this Agreement, and shall take commercially reasonable steps to protect the Confidential Information from unauthorized disclosure. Confidential Information does not include information that (i) is or becomes publicly available through no fault of the Receiving Party; (ii) is already in the Receiving Party's lawful possession; (iii) is lawfully obtained by the Receiving Party from a third party without restriction; or (iv) is independently developed without use of the Disclosing Party's Confidential Information. The obligations of confidentiality survive termination of this Agreement for a period of three (3) years, or for trade secrets, for so long as such information remains a trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

Miscellaneous Provisions

Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
