Either party may terminate this approval and the resulting transaction for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for material breach, insolvency, or violation of applicable law may be effected immediately upon written notice.

Confidentiality

Each party shall treat as confidential all non-public information disclosed in connection with the negotiation and execution of this approval and any subsequent transaction documents, shall use such information solely for purposes of performing obligations under the approved deal, and shall not disclose such information to third parties except as required by law or with the prior written consent of the disclosing party. This obligation survives termination for a period of three (3) years.
