What Business Deal Documents Cover

Business deal documents are the set of written agreements, terms, and supporting records used to memorialize commercial transactions between parties. They typically include term sheets, letters of intent, purchase and sale agreements, asset schedules, non-disclosure provisions, payment terms, closing checklists, and signature pages. Properly prepared deal documents define obligations, pricing, timelines, conditions precedent, termination rights, and allocation of risk. Clear documents reduce negotiation friction, support regulatory compliance, and provide the evidentiary basis needed for enforcement, dispute resolution, and post-closing integration or filings.

Why a Complete Set of Deal Documents Matters

Well-structured business deal documents protect parties by setting clear expectations, allocating risk, and preserving enforceable rights under contract law and applicable statutes.

Why a Complete Set of Deal Documents Matters

Who Commonly Prepares and Signs These Documents

Parties involved in commercial transactions each play distinct roles when preparing and executing deal documents.

  • Buyers and sellers in asset or equity transactions, responsible for negotiating price, representations, and closing conditions.
  • Corporate legal and finance teams drafting warranties, indemnities, and payment mechanics to align with internal controls.
  • External counsel, escrow agents, and lenders who review, approve, and often require specific execution and notarization language.

Accurate preparation and correct signing authority speed closings and reduce the likelihood of post-closing disputes.

Authorized Signers and Their Roles

CEO / President

An organizational officer with delegated authority to bind a corporation; verify board resolutions or corporate bylaws before execution to confirm actual signing power.

Authorized Representative

Recitals

Representations & Warranties

Statements of fact and assertions about assets, liabilities, authority, and compliance that form the basis for indemnities and disclosure schedules.

Covenants

Affirmative and negative covenants describing interim conduct, confidentiality obligations, and pre-closing restrictions to preserve deal value during transition.
