BUSINESS DEAL MEMO

This Business Deal Memo (the "Memo") is entered into on this day of , (the "Effective Date"), by and between:

WHEREAS

WHEREAS, Client is engaged in the business described above and desires to procure certain services, deliverables, or rights as set forth in this Memo; and

WHEREAS, Counterparty has relevant experience and resources and is willing to provide such services, deliverables, or rights to Client pursuant to the terms and conditions of this Memo; and

WHEREAS, the parties intend this Memo to memorialize the material commercial terms and to serve as the basis for more detailed documentation if required.

SCOPE OF WORK

The parties agree that the Scope of Work above identifies the principal obligations of Counterparty. Counterparty shall perform the services in a professional manner consistent with industry standards and shall deliver the deliverables in accordance with any agreed milestones and acceptance criteria set forth herein.

PAYMENT TERMS

Invoices shall be submitted in writing and are due within days of invoice receipt, unless otherwise specified in the payment schedule. All payments shall be made in United States dollars unless otherwise agreed in writing.

A late fee of % per month (or the maximum permitted by law, whichever is less) shall accrue on any overdue amount beginning the day after the due date. Parties may also agree to a fixed late charge of USD in addition to the percentage fee.

TERM AND TERMINATION

This Memo shall commence on and shall continue until unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is: (a) already known to the Receiving Party without obligation of confidentiality; (b) publicly available through no breach by the Receiving Party; (c) lawfully received from a third party without confidentiality obligations; or (d) independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use Confidential Information solely to perform its obligations under this Memo and shall not disclose Confidential Information to any third party except to employees, advisors, or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein. Upon termination, the Receiving Party shall return or destroy Confidential Information as requested by the Disclosing Party.

GOVERNING LAW

This Memo shall be governed by and construed in accordance with the laws of the jurisdiction indicated below, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for any dispute arising out of or relating to this Memo.

ENTIRE AGREEMENT; AMENDMENT

This Memo constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Memo must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Memo without the prior written consent of the other party, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee assumes the assigning party's obligations.

Notices: All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.
