BUSINESS DEALS AGREEMENT

This Business Deals Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: ("Client") and Provider Name: ("Provider"). Client and Provider may be referred to collectively as the "Parties" and individually as a "Party."

RECITALS

WHEREAS, Client seeks to engage Provider to perform certain business development, advisory, or transactional services as described in this Agreement; and

WHEREAS, Provider possesses expertise, personnel, and resources necessary to perform the services described in the Scope of Work and is willing to provide such services under the terms and conditions set forth herein; and

WHEREAS, the Parties desire to set forth their respective rights and obligations with respect to such services and any related payments, confidentiality, and other commercial terms.

SCOPE OF WORK

PAYMENT TERMS

All amounts are stated in lawful currency. Client shall pay undisputed invoices within the Invoice Due Period. Overdue amounts shall accrue interest at the Late Payment rate specified above or, if no rate is specified, at 1.5% per month (or the maximum permitted by applicable law). Client shall be responsible for reasonable costs of collection, including attorneys' fees, for amounts not paid when due.

Either Party may terminate this Agreement for convenience upon providing the other Party with the number of days' written notice specified above. Either Party may terminate immediately upon written notice for material breach by the other Party if such breach is not cured within thirty (30) days following receipt of written notice of such breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each Party (the "Receiving Party") shall maintain in strict confidence all non-public information of the other Party (the "Disclosing Party") disclosed in connection with this Agreement, whether written, oral, or electronic ("Confidential Information"), and shall not use or disclose such Confidential Information except as necessary to perform under this Agreement or as required by law. Confidential Information does not include information that is publicly known through no breach of this Agreement or that is rightfully obtained from a third party without restriction. The obligations of confidentiality shall survive termination of this Agreement for a period of years.

INTELLECTUAL PROPERTY; RETURN OF MATERIALS

Unless otherwise agreed in writing, all intellectual property created specifically for Client under this Agreement shall be owned by Client upon full payment; Provider shall retain ownership of pre-existing materials and general know-how. Upon termination or request, each Party shall return or destroy the Confidential Information of the other Party and certify in writing that all copies have been returned or destroyed.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to its conflict of laws principles. The Parties agree that the state and federal courts located in the chosen jurisdiction shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including any exhibits or attachments, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior understandings and agreements. No amendment shall be effective unless in writing and signed by authorized representatives of both Parties.

Independent Contractors: The Parties are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship between the Parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
