What a Business DEL Letter Is and when it’s used

The Business DEL Letter is a formal written authorization businesses use to delegate specific powers or transaction authority from an authorized officer to another person or entity. Typical purposes include granting signing authority, banking access, contract negotiation rights, or limited operational authority. The letter specifies scope, monetary or functional limits, effective and expiration dates, and any conditions or reporting obligations. Issued on company letterhead or in a prescribed template, it creates a clear record that can be shared with banks, vendors, and internal teams; the letter may be executed electronically if parties agree under applicable e-signature laws.

Why a clear delegation letter matters for governance

A Business DEL Letter documents delegated authority, reduces operational ambiguity, and creates an auditable record for internal control and third-party reliance. Properly executed it supports compliance with corporate governance and, where agreed, can be electronically signed under ESIGN and applicable state UETA rules.

Essential parts of a Business DEL Letter define scope, authority limits, effective dates, signatory details, reporting instructions, and any conditions or revocation terms.

Scope of Authority

Limitations

List explicit limits such as monetary caps, prohibited actions, duration per transaction, reporting cadence, and any required pre-approvals from senior officers or board resolution where applicable.

Reporting Requirements

Specify whom the delegate must report to, what documentation to submit, frequency of reporting, and the format for record retention and audit support, including electronic file naming conventions.
