BUSINESS DEMO AGREEMENT

This Business Demo Agreement (the "Agreement") is made and entered into as of by and between:

WHEREAS

WHEREAS, Provider develops and demonstrates business products, processes, prototypes and related materials (collectively, "Demo Materials") and possesses expertise in providing demonstration services; and

WHEREAS, Client desires to engage Provider to perform a demonstration of certain products or services under the terms set forth herein, and Provider agrees to perform such demonstration in accordance with this Agreement.

SCOPE OF WORK

Provider shall perform the demonstration services and related tasks described below. The scope includes demonstration preparation, onsite or remote presentation, follow-up documentation, and limited hands-on access as described.

PAYMENT TERMS

Client shall pay Provider the fees set forth below in consideration for performance of the Scope of Work. Fees are exclusive of applicable taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party. Either party may terminate immediately for material breach if the breach remains uncured for fifteen (15) days following written notice of breach.

Upon termination, Client shall pay Provider for all services performed and expenses incurred through the effective date of termination. Provider shall deliver any completed Deliverables and return Client Confidential Information as required by this Agreement.

CONFIDENTIALITY

"Confidential Information" means nonpublic information disclosed by one party to the other that is identified as confidential at the time of disclosure or that by its nature a reasonable person would consider confidential, including business plans, technical data, and Demo Materials. Each receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as permitted herein; and (c) use it solely to exercise rights or perform obligations under this Agreement.

Confidential Information does not include information that: (i) is or becomes generally known through no wrongful act of the receiving party; (ii) was known to the receiving party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Upon termination or request, the receiving party shall return or destroy the disclosing party's Confidential Information and certify such return or destruction in writing within ten (10) days.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Provider retains all right, title and interest in Provider's pre-existing intellectual property and Demo Materials. Provider grants Client a limited, non-exclusive, non-transferable license to use Demo Materials solely for evaluation and internal decision-making during the Term. Client shall not copy, distribute, or create derivative works of Demo Materials except as expressly permitted in writing.

LIMITATION OF LIABILITY; WARRANTIES

Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING WARRANTY, ALL SERVICES ARE PROVIDED "AS IS." IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT. THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

NOTICES

All notices and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses listed below.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an agency, partnership or joint venture between them.
