RECITALS

TERM AND TERMINATION

The Service Provider shall take commercially reasonable measures to safeguard confidential information and shall restrict access to personnel with a need to know. Upon request or termination, the Service Provider shall return or destroy confidential materials as directed by the Business Department.

GOVERNING LAW

This Report and any agreement embodied herein shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This document constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, proposals, and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both Parties.
