BUSINESS DESK AGREEMENT

Parties and Contact Information

Recitals

WHEREAS, Provider Name: owns and operates business desk facilities and ancillary services ("Desk Services") used by businesses and professionals for administrative and operational support; and

WHEREAS, Client Name: wishes to engage Provider to provide Desk Services on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows.

Scope of Work

Provider shall furnish Desk Services to Client as described below. Services include provision of physical desk space (if applicable), administrative support, mail handling, telephone answering, and access to shared office resources as specified. The parties may modify the scope in writing pursuant to Section 9 (Amendments).

Payment Terms

Client shall pay Provider the fees set forth below in full and in accordance with the schedule. Fees do not include taxes or third-party expenses unless expressly stated.

Invoices are due within days of invoice date. Unpaid balances shall accrue interest at a rate of % per month (or the maximum permitted by law), plus a late charge of for any invoice more than days past due.

Term and Termination

This Agreement commences on the Commencement Date and continues until the Termination Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience by providing days' prior written notice. Provider may terminate immediately upon written notice if Client fails to pay undisputed fees within days of receipt of written demand. Termination for material breach shall follow a day cure period unless the breach is incapable of cure.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as required by law or as necessary to perform under this Agreement. "Confidential Information" includes non-public business information, client lists, pricing, strategies, trade secrets and other information reasonably understood to be confidential.

The obligations of confidentiality shall survive termination for a period of years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

Indemnification and Liability

Each party shall indemnify and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from willful misconduct or breach of confidentiality, neither party's aggregate liability shall exceed the total fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the claim.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the notice addresses set forth above or to such other address as either party designates in writing. Notices shall be deemed effective upon receipt by hand delivery, courier, or confirmed electronic delivery.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Venue for any dispute arising hereunder shall lie in the state or federal courts located in that state.

Entire Agreement; Amendments

This Agreement, including any exhibits and written modifications signed by both parties, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous negotiations, understandings, and agreements. No amendment, waiver, or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Severability; Assignment

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
