BUSINESS DETAILED DOCUMENT

This Business Detailed Document (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Client requires professional services and deliverables as set forth in this Agreement; and

WHEREAS, Service Provider has the experience, personnel and resources to perform the services described below and agrees to provide those services to Client on the terms and conditions contained herein; and

NOW, THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows:

SCOPE OF WORK

Service Provider shall provide the services and deliverables described in detail below. The Scope of Work shall include tasks, deliverables, acceptance criteria and any milestones. Any change to the Scope of Work must be agreed in writing and pursuant to the Change Order procedure set forth in this Agreement.

PAYMENT TERMS

Client agrees to pay Service Provider for the services performed under this Agreement in accordance with the terms below.

Invoices are due within days of receipt unless otherwise specified. Late payments shall incur interest at the lesser of (i) per month or (ii) the maximum rate permitted by applicable law, and Client shall also reimburse Service Provider for reasonable collection costs.

TERM AND TERMINATION

This Agreement commences on the Commencement Date and continues until the Expiration Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach. Termination does not relieve Client of payment obligations for services performed and expenses incurred prior to termination.

CONFIDENTIALITY

Each party acknowledges that during performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form. The receiving party shall (i) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to third parties except to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as this Agreement. Confidentiality obligations survive termination for a period of three (3) years, or longer as required by applicable law for trade secrets.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider grants to Client a perpetual, non-exclusive, worldwide license to use the final deliverables for Client's internal business purposes. Service Provider retains ownership of its pre-existing materials, tools and methodologies. Any new intellectual property created specifically for Client by Service Provider shall be owned by Client Service Provider

LIMITATION OF LIABILITY

Except for liability resulting from a party's gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, special, incidental or punitive damages. Each party's aggregate liability for claims arising out of or relating to this Agreement shall not exceed the total fees paid to Service Provider under this Agreement in the twelve (12) months preceding the claim.

NOTICES

All notices and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected below, without regard to conflicts of laws principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation. If unresolved, disputes shall be submitted to binding arbitration in the selected jurisdiction, unless otherwise mutually agreed in writing.

MISCELLANEOUS

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions and agreements relating to the subject matter hereof. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger, sale of substantially all assets, or change of control.

ENTIRE AGREEMENT

This Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter herein and replaces all prior agreements, proposals and representations, whether written or oral.
