What the Business Developer Document Is and When to Use It

A Business Developer Document is a structured agreement or working plan used to define responsibilities, deliverables, compensation, and timelines between a business development professional and an employer, client, or partner. It typically includes scope of work, performance targets, lead-handling rules, confidentiality terms, compensation or commission schedules, and termination conditions. The document serves both operational and legal purposes: guiding daily activity while establishing enforceable obligations and recordkeeping requirements. It can be issued as a standalone contract, an exhibit to a master services agreement, or as part of a proposal or onboarding packet.

Why a Clear Business Developer Document Matters

A formal document reduces ambiguity about roles, protects proprietary information, and aligns incentives for new business generation while creating an auditable record of agreed terms.

Why a Clear Business Developer Document Matters

Who Typically Prepares or Signs This Document

Use the document to reduce disputes, ensure tax and compliance readiness, and provide a reliable record for audits or future negotiations.

  • Employers and hiring managers establishing commission structures and performance targets for sales or BD hires.
  • Independent contractors and consultants defining lead ownership, payment timing, and deliverables.
  • Partner organizations and resellers documenting referral fees, territory, and exclusivity terms.

Core Elements of a Professional Business Developer Document

A complete document balances commercial clarity with legal protections, organizing the agreement into identifiable sections so each party understands obligations and remedies.

Scope of Work

Clearly describe activities, channels, territories, and excluded tasks to limit scope creep and align expectations.

Compensation

Specify salary, commission rates, payment schedule, and treatment of expenses and taxes to avoid later disputes.

Performance Metrics

Define measurable targets, reporting cadence, and consequences for missed objectives to make performance assessments objective.

Confidentiality

Include non-disclosure terms addressing lead data, customer lists, and proprietary strategies with duration and exceptions.

Term and Termination

State effective date, notice periods, grounds for termination, and post-termination obligations such as non-solicit clauses.

Dispute Resolution

Identify governing law, venue, and whether arbitration or courts will resolve disputes to manage litigation risk.
