Business Development Agreement

This Business Development Agreement (the Agreement) is entered into as of (Effective Date), by and between:

WHEREAS, Business Developer has experience and expertise in identifying prospective customers, partnerships, and strategic opportunities to expand Client's business; and

WHEREAS, Client desires to engage Business Developer to perform business development services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Business Developer shall perform business development services for Client, which may include lead identification, partnership negotiations, market research, introductions to prospective clients, and related advisory services as reasonably requested by Client (Services). Specific deliverables, milestones, and acceptance criteria are set forth below and in any statement of work executed by the parties.

Compensation and Payment Terms

Client shall pay Business Developer the fees described below in consideration for the Services. Fees are exclusive of any applicable taxes and reimbursable expenses unless otherwise stated.

Late payments shall accrue interest at the rate of % per month (or the maximum rate permitted by law), plus all reasonable collection costs and attorneys' fees incurred by the non-defaulting party.

Reimbursable expenses (travel, third-party reports, filing fees) must be pre-approved in writing by Client and will be invoiced with supporting documentation. Client shall reimburse approved expenses within thirty (30) days of receipt of invoice.

Term and Termination

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay fees and expenses accrued through the effective date of termination.

Confidentiality

Each party (Recipient) shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party (Discloser) except as necessary to perform its obligations under this Agreement. Confidential Information includes non-public business information, customer lists, pricing, technical information, and any information marked or reasonably understood to be confidential.

The confidentiality obligations set forth herein shall survive termination of this Agreement for a period of unless a longer period is required by applicable law.

Intellectual Property

Unless otherwise agreed in writing, Client retains all right, title, and interest in and to Client's pre-existing intellectual property. Business Developer hereby assigns to Client all rights in any work product specifically created for Client under this Agreement and delivered to Client, subject to payment in full. Business Developer retains the right to use general skills, know-how, and experience acquired during performance.

Representations, Warranties, and Indemnification

Each party represents that it has the authority to enter into this Agreement. Business Developer represents that the Services will be performed in a professional manner in accordance with customary industry standards. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's breach of this Agreement or its gross negligence or willful misconduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes through negotiation prior to initiating litigation.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact details below. Notice is effective upon personal delivery, email with confirmation of receipt, or three (3) days after deposit with a nationally recognized overnight courier.

Entire Agreement

This Agreement, including any statements of work and exhibits signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a substitute, valid, and enforceable provision to effect the parties' intent.
