What the Business DI Sheet Is and when organizations use it

The Business DI Sheet is a standardized information worksheet used by businesses to collect and verify key details about a counterparty, vendor, or transaction for due diligence, onboarding, and regulatory compliance. Typical entries include legal entity name, tax identification, authorized signers, contract dates, payment terms, and required attachments such as certificates of insurance or corporate filings. The form streamlines review and reduces follow-up by consolidating required inputs into one record that can be retained with the contract or procurement file for audit purposes and internal controls.

Why a clear Business DI Sheet matters for compliance and recordkeeping

A complete Business DI Sheet reduces administrative friction, improves vendor risk assessment, and creates a single retained record for audits and legal review. When completed correctly it supports tax reporting, contract enforcement, and regulatory compliance and can satisfy e-signature standards under federal and state law such as the ESIGN Act (15 U.S.C. ch. 96) and state UETA statutes.

Why a clear Business DI Sheet matters for compliance and recordkeeping

Who typically prepares and reviews a Business DI Sheet

Teams that prepare, approve, or rely on a Business DI Sheet include procurement, accounts payable, legal, compliance, and the contracting business unit. These groups use the form to confirm identity, payment details, and signing authority before executing agreements.

  • Procurement specialists who validate vendor qualifications and commercial terms.
  • Accounts payable staff for accurate payment setup and 1099/TIN collection.
  • Legal or compliance reviewers for contract terms, indemnities, and regulatory checks.

Centralizing responsibility for completion and review—typically procurement or legal—reduces incomplete submissions and supports timely approvals.

Step-by-step: completing a Business DI Sheet accurately

Follow these sequential steps to gather verified information, attach supporting documents, and finalize the sheet for routing and signature.

  • 01
Collect Identity Details: Gather entity name, EIN, and legal status from official filings.
  • 02
Confirm Authorized Signer: Obtain signer name, title, and proof of authority such as a corporate resolution.
  • 03
Attach Supporting Documents: Upload articles of incorporation, W-9, insurance certificates, or licenses.
  • 04
Route for Approval: Send to procurement, legal, and AP for review then capture signatures.

Configuring an online workflow for the Business DI Sheet

When automating the Business DI Sheet, set field validation, attachments, and signer routing to reduce manual review and rework.

Field Configuration
Required Fields Mark EIN, Legal Name, and Authorized Signer as required
Attachments Require W-9 and insurance COI uploads where applicable
Routing Route first to procurement, then legal, then finance
Notifications Enable email reminders and escalation rules

Digital signing and technical requirements

Choose a platform that supports PDF, DOCX, conditional fields, and secure signer authentication to reduce friction and meet compliance needs.

  • File formats: PDF, DOCX, and Excel supported
  • Integrations: Salesforce, NetSuite, Google Workspace, Microsoft 365
  • Authentication: Email links, SMS codes, KBA, or SSO

Where to send, file, and store a completed Business DI Sheet

A clear routing plan ensures the form is reviewed and retained by the appropriate teams and systems.

  • Procurement Record: Attach the final sheet to the vendor record in procurement systems
  • Finance / AP: Send a copy to accounts payable for payment onboarding
  • Legal File: Store the signed sheet with contract documents for legal review
  • Document Archive: Export signed PDF/A and retain in enterprise DMS

Time-sensitive steps and common deadlines to track

Track submission and approval deadlines to avoid payment delays, tax issues, or contract start-date conflicts.

Submit on Request:

Provide the DI Sheet when the payer or business requests it

W-9 / TIN timing:

Collect before first payment to avoid backup withholding

Contract Effective Date:

Confirm before documents are executed and services begin

Retention Trigger:

Record retention begins at effective date or contract close

Audit Availability:

Ensure documents are accessible for routine audits or tax inquiries

Common mistakes when preparing a Business DI Sheet

  • Entering abbreviated or trade names that don’t match tax records, causing mismatches
  • Missing authorized signer proof, delaying contract execution and payment setup
  • Omitting required attachments such as W-9 or COI, prompting re-submission
  • Failing to set required field validation in online forms, increasing manual review

Penalties and legal risks from inaccurate or incomplete information

Backup Withholding: 24% withholding may apply if TIN is missing or incorrect
1099 Penalties: IRC §6721 penalties range from $60 to $330 per incorrect form depending on lateness
I-9 Violations: Paperwork penalties range from $281–$2,789 per violation (8 CFR §274a.2)
Contractual Exposure: Invalid signatures or lack of authority can render agreements voidable
Audit Findings: Incomplete records increase audit risk and remediation costs
Data Privacy: Improper handling of personal data can trigger HIPAA or state privacy actions

Core elements to include in a professional Business DI Sheet

A well-structured DI Sheet balances required identification fields with space for attachments and approvals to speed onboarding and reduce ambiguity.

Entity Identification

Full legal name, DBA (if any), entity type, and state of formation to verify legal existence and tax classification.

Tax Details

EIN or SSN where applicable, W-9 attachment, and backup-withholding status for accurate tax reporting.

Authorized Signer

Name, title, and evidence of authority such as corporate resolution or board minutes when required by contract value.

Payment Instructions

Preferably ACH details or remit-to address, payment terms, and invoicing contact to avoid AP disputes.

Insurance and Compliance

Certificates of insurance, licenses, or professional credentials required for the engagement or vendor type.

Attachments & Notes

Space for supporting documents and internal notes such as risk flags, exclusions, or special payment arrangements.

Representative use cases: how teams apply the Business DI Sheet

These short examples show how different organizations use the DI Sheet to reduce onboarding time and centralize compliance checks.

Vendor Onboarding at a Retailer

Procurement requires a completed DI Sheet before PO approval

  • This ensures tax and insurance details are verified
  • The retailer attaches a W-9 and COI; accounts payable uses the data to configure vendor payments and reduce invoice exceptions during peak season.

Service Provider Intake at a Health Clinic

Healthcare collects DI Sheets plus a BAA when PHI may be involved

  • HIPAA considerations are flagged for legal review
  • The clinic stores signed sheets in an encrypted DMS, retains them for six years per HIPAA, and ties the record to credentialing and background checks.

Practical tips to speed accurate completion of the Business DI Sheet

Small process improvements reduce errors and accelerate approvals; adopt these practices for consistency and audit readiness.

Use validated picklists
Pre-fill state and entity-type fields to reduce free-text variance and validation errors during review.
Require core attachments
Make W-9, EIN proof, and COI mandatory uploads to avoid repeated follow-up and payment delays.
Standardize signer evidence
Define acceptable proof of signing authority (resolution, bylaws, officer certificate) to speed legal review.
Automate reminders
Set automatic reminders for incomplete DI Sheets and escalate after defined intervals to maintain SLAs.

Who may legally sign the Business DI Sheet

Corporate Officer

An officer listed in corporate records (CEO, CFO, President) may sign commercial agreements and DI Sheets when authority is granted by corporate bylaws or board resolution. Confirm title and, where necessary, attach a board-authorized resolution to avoid disputes over signature validity.

Authorized Agent

An authorized agent with written delegation (power of attorney or company letter) may sign on behalf of the entity. For significant obligations, require documentation demonstrating the scope of delegated authority before accepting signatures.
