Confidential Information does not include information that: (a) is or becomes publicly available without breach; (b) was known to Receiving Party prior to disclosure; (c) is lawfully received from a third party without restriction; or (d) is independently developed without use of Confidential Information.

Upon termination or written request, Receiving Party shall promptly return or destroy Confidential Information and certify in writing its compliance.

Representations and Warranties

Each party represents that it has full authority to enter into this Form, that the statements made in this Form are true and correct to the best of its knowledge, and that execution of this Form will not violate any agreement, law or duty applicable to such party.

Governing Law; Dispute Resolution

This Form shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties shall first attempt to resolve disputes in good faith. If unresolved, disputes shall be subject to the exclusive jurisdiction of state or federal courts located in the selected governing jurisdiction.

Entire Agreement; Amendment

This Form, together with any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, proposals and communications, whether written or oral.
