What the Business Discovery & Development Agreement Is

The Business Discovery & Development Agreement is a contractual template used to outline terms for initial market research, opportunity assessment, and early-stage business development work between two parties. It documents scope, deliverables, timelines, compensation, confidentiality, ownership of findings, and dispute resolution. The agreement typically sets milestones for discovery tasks, specifies how intellectual property and data will be handled, and establishes governance such as point persons and reporting cadence. Parties use it to align expectations before committing to larger projects or formal development contracts.

Why this Agreement Matters for Early-Stage Work

Used early in engagements, this agreement clarifies responsibilities, reduces scope creep, and secures compensation for discovery work. It protects confidential information, defines ownership of research outputs, and provides a narrow legal framework to evaluate feasibility before entering full-scale development contracts.

Why this Agreement Matters for Early-Stage Work

Who Typically Uses This Agreement

Typical users include service providers, startups, corporate development teams, independent consultants, and in-house legal or business development leads.

  • Startups seeking external validation and technical feasibility prior to product development or investor commitments.
  • Consulting firms hired to scope market research, deliverables, and fixed-fee discovery phases.
  • Corporate innovation or M&A teams evaluating acquisition targets and integration risks during early diligence.

Use this agreement when parties need a documented discovery scope, budget estimate, and IP/data handling terms before larger engagements.

Core Sections to Include in a Professional Agreement

Core sections define scope, deliverables, timelines, payment, confidentiality, IP assignment, termination, and dispute resolution to create clear, enforceable expectations during early development work.

Scope

Describe discovery tasks, milestones, deliverables, success criteria, and acceptance process. Be specific about outputs such as reports, prototypes, or pilot plans to avoid ambiguity later.

Compensation

Confidentiality

Include nondisclosure obligations, permitted disclosures, data handling requirements, security standards, and duration of confidentiality to effectively protect sensitive business information and research data after termination.

IP & Ownership

Clarify ownership of work product, inventions, and deliverables. Specify assignments, licenses, reverse-licensing, and rights to use findings for future development or commercialization including background IP reservations.

Termination

Define termination for convenience, for cause, notice periods, wind-down obligations, final deliverables, payment on termination, and survival of confidentiality and IP clauses and post-termination access terms.

  • Failing to specify IP ownership or license terms, which can create downstream disagreements when findings inform product development or commercialization.
