What the Business Dissolve Agreement Is

A Business Dissolve Agreement is a legally binding document used to end the operations of an LLC, corporation, or partnership. It records the decision to dissolve, sets the effective dissolution date, assigns responsibility for winding up affairs, and allocates remaining assets and liabilities among owners. The agreement typically describes creditor notice procedures, tax and payroll obligations, asset disposition, and any retained obligations or indemnities. In the United States it is governed by the entity's formation state law and may be executed electronically where ESIGN or the state's UETA/ESRA rules permit electronic signatures.

Why a Clear Dissolution Agreement Matters

A Business Dissolve Agreement reduces post-closure disputes, clarifies asset distribution, documents creditor resolution steps, and supports final tax reporting and state filings. It also limits ongoing liability exposure for owners by memorializing agreed procedures during winding up.

Why a Clear Dissolution Agreement Matters

Who Prepares and Signs a Dissolution Agreement

Common parties preparing or signing a Business Dissolve Agreement include these primary stakeholders involved in winding up:

  • LLC members and corporate owners who approve dissolution and receive asset distributions.
  • Company officers, board directors, and authorized managers who execute filings and oversee winding up steps.
  • Attorneys, accountants, and tax advisors who draft the agreement and handle final returns.

Professional advisors commonly review the agreement to confirm compliance with state law, tax obligations, and creditor notice requirements before filing.

Core Provisions to Include in a Dissolution Agreement

Essential provisions in a Business Dissolve Agreement define responsibilities, timelines, creditor claims process, asset allocation, tax handling, and formal state filings for orderly wind‑up.

Dissolution Resolution

Record the owners' or board's formal approval to dissolve and reference any required member or shareholder vote thresholds; attach meeting minutes or resolutions as exhibits.

Winding Up

Detail responsibilities for collecting receivables, selling assets, paying liabilities, and maintaining records until all material obligations are resolved and distributions occur.

Creditor Claims

Describe notice procedures, claim submission deadlines, dispute resolution, and the handling of contingent or disputed claims to reduce post-dissolution litigation.

Asset Distribution

Specify allocation order (creditors first, then member distributions), valuation method, and any retained reserves for contingent liabilities or tax obligations.

Taxes & Filings

Identify required final tax filings, sales and employment tax closures, EIN status, and who will sign returns and required state forms.

Authority & Signatures

List authorized signers, how signatures are authenticated, and whether notarization or witnessing is required under the governing jurisdiction.
