BUSINESS DISTRIBUTION BREAKOUT

This Business Distribution Breakout (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Company Name: controls certain business assets, revenue streams, and contractual rights that require allocation and distribution among designated recipients; and

WHEREAS, Counterparty Name: has been engaged to administer or receive distributions pursuant to the terms set forth in this Agreement; and

SCOPE OF WORK

The parties agree that distributions shall be allocated in accordance with the following breakout. Percentages must equal 100% of the applicable distributable amount unless otherwise specified.

PAYMENT TERMS

Distributions shall be calculated on the applicable distributable base and paid in accordance with the schedule below. The aggregate distributable amount for each payment period is:

Late payments shall bear interest as set forth below. The late fee shall accrue from the date payment was due until paid in full.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party that remains uncured for the notice period specified above. Upon termination, all undistributed amounts shall be reconciled and distributed within thirty (30) days unless otherwise agreed in writing.

CONFIDENTIALITY

Each party shall treat as Confidential Information all non-public business information disclosed in connection with this Agreement, including distribution schedules, payment mechanics, recipient identities, financial calculations, and account details. Confidential Information shall not be disclosed to any third party except as required by law or with the prior written consent of the disclosing party. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, proposals, representations, and understandings, whether written or oral.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations hereunder, and that the person signing on its behalf is duly authorized to bind such party.
