BUSINESS DISTRIBUTOR AGREEMENT

This Business Distributor Agreement (the Agreement) is entered into as of by and between Supplier Name: and Distributor Name: .

Recitals

WHEREAS, Supplier manufactures or procures the products described herein and desires to engage Distributor to distribute the Supplier's products on the terms and conditions set forth in this Agreement; and

WHEREAS, Distributor represents that it has the capability, personnel, and distribution channels to sell, promote and service the products within the Territory defined below and agrees to comply with Supplier's reasonable marketing and sales standards; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding the distribution, sale, promotion, and support of the products.

1. Definitions and Territory

"Products" means the goods identified by Supplier to Distributor from time to time. Initial Products to be covered by this Agreement:

Distributor shall promote, market, solicit orders for, and distribute the Products within the Territory in accordance with the terms of this Agreement. Distributor's responsibilities shall include sales, customer support, warranty intake (as authorized), and required reporting to Supplier.

3. Payment Terms

Supplier shall pay Distributor compensation as set forth below for Products resold or services performed by Distributor under this Agreement.

All payments shall be made in United States Dollars unless otherwise agreed in writing. Distributor shall be responsible for all local taxes and duties, except taxes based on Supplier's net income.

4. Term and Termination

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination.

5. Confidentiality

Each party acknowledges that in the course of performance under this Agreement it may receive Confidential Information of the other party. "Confidential Information" means any non-public information disclosed in writing, orally, or by inspection that is identified as confidential or that reasonably should be understood to be confidential.

Each receiving party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information only for purposes of performing its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents, or contractors with a need to know who are bound by confidentiality obligations at least as protective as this Agreement. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets.

6. Intellectual Property

Supplier retains all right, title and interest in and to Supplier's trademarks, trade names, patents, copyrights, and other intellectual property relating to the Products. Distributor is granted a limited, non-exclusive, non-transferable license to use Supplier's trademarks solely to market and sell the Products in the Territory in accordance with Supplier's trademark usage guidelines.

7. Indemnification and Insurance

Distributor shall indemnify, defend and hold Supplier harmless from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of Distributor's negligence, willful misconduct, breach of this Agreement, or the marketing, sale, or distribution of Products outside the scope authorized by this Agreement. Each party shall maintain commercially reasonable insurance coverage appropriate to its obligations under this Agreement.

8. Governing Law and Dispute Resolution

The parties agree that the laws of the chosen jurisdiction shall govern this Agreement without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation; if unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts located within the chosen jurisdiction unless the parties agree in writing to binding arbitration.

9. Entire Agreement; Amendments

This Agreement, together with any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

10. Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Supplier may assign to an affiliate or in connection with a sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices shall be in writing and delivered to the addresses provided by the parties below.
