Recitals

WHEREAS, Client desires to engage DJ to provide professional disc jockey, music programming, sound reinforcement, and related entertainment services for the event described below; and

WHEREAS, DJ represents that DJ has the experience, skill, equipment, and personnel required to perform such services and is willing to perform for Client in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their agreement in writing.

Either party may terminate this Agreement for material breach of its terms by the other party if the breaching party fails to cure such breach within days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed prior to termination.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any proprietary or confidential information of the other party disclosed in connection with this Agreement, except as required by law or as necessary to perform the services under this Agreement. Confidential information includes, but is not limited to, event details, client guest lists, technical specifications, trade practices, and pricing. This obligation survives termination of this Agreement for a period of two (2) years.

Insurance; Indemnification; Liability

DJ shall maintain commercial general liability insurance in amounts reasonable for the engagement and shall provide proof of insurance to Client upon request. DJ shall indemnify, defend and hold Client harmless from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of DJ's negligent acts or omissions, breach of this Agreement, or willful misconduct, except to the extent such claims arise from Client's negligence or willful misconduct.

In no event shall either party be liable to the other for consequential, incidental, special, or punitive damages, and each party's total aggregate liability under this Agreement shall not exceed the total fees paid by Client to DJ under this Agreement.

Notices

Governing Law; Entire Agreement; Amendment

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No modification, amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

Independent Contractor: DJ is an independent contractor and not an employee, partner, or agent of Client. DJ shall be solely responsible for all taxes, withholdings and other statutory obligations.

Force Majeure: Neither party shall be liable for delay or failure to perform caused by events beyond reasonable control, including acts of God, strike, pandemic, civil disturbance, or governmental action; provided that the affected party gives prompt written notice to the other and uses commercially reasonable efforts to resume performance.
