What the Business D&O Agreement Covers

A Business D&O Agreement documents the duties, indemnification, and liability allocation for directors and officers of a company. It typically defines covered claims, advancement of defense costs, indemnification limits, and procedures for notice and cooperation. The agreement can supplement corporate bylaws, clarify insurer obligations, and set post-termination protections for corporate fiduciaries. Because the document affects personal liability and corporate expense allocation, accurate identification of parties, effective dates, and governing law is essential to enforceability and to align with the company’s insurance coverage and corporate governance documents.

Why a Clear D&O Agreement Matters for Your Business

A precise Business D&O Agreement reduces litigation risk, clarifies who bears defense and settlement costs, and helps attract qualified directors by defining indemnity and advancement terms. It also aligns expectations with insurance policies and corporate governance, improving predictability for board decision-making.

Why a Clear D&O Agreement Matters for Your Business

Who Typically Prepares and Signs a Business D&O Agreement

Final execution often requires board approval and formal vote where corporate charters or state law demand specific corporate actions.

  • Corporate counsel and legal team — prepare the agreement, ensure compliance with corporate law, and align indemnity with bylaws and insurance.
  • Board members and officers — review indemnity scope, advancement procedures, and limitations before accepting appointment or signing.
  • Insurance brokers and carriers — verify that policy terms match indemnity obligations and disclose coverage gaps or retention amounts.

Core Sections to Include in a Professional Business D&O Agreement

A robust agreement covers liability scope, advancement, defense, limitations, conflicts with insurance, and procedures for claims and reimbursement.

Covered Claims

Set monetary caps, exclusions for intentional misconduct, and carve-outs for statutory or policy-driven limitations.

Insurance Coordination

State how indemnity interacts with D&O insurance, priority of payments, and notice duties to insurers.

Claim Procedures

Describe notice, cooperation, election of counsel, settlement approval, and dispute-resolution methods.

Common Preparation Mistakes to Avoid

  • Using informal or inconsistent party names that differ from formation documents, which can create ambiguity about who is entitled to indemnity.
  • Failing to coordinate the agreement with existing D&O insurance terms, leading to coverage disputes or unexpected retentions.
  • Leaving advancement procedures vague, which can delay defense funding and create disputes over repayment if indemnity is later denied.
  • Omitting corporate approval steps required by bylaws or state law, which can jeopardize enforceability against the company.

Risks and Consequences of an Improper Agreement

Personal Liability: Direct exposure
Coverage Gaps: Insurer denial
Repayment Duty: Advancement clawback
Corporate Breach: Invalid corporate act
Regulatory Risk: Enforcement action possible
Litigation Costs: High defense expense
