Recitals

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

Party A shall perform the services described below for Party B in a professional and workmanlike manner consistent with industry standards. Deliverables, milestones, and acceptance criteria shall be as set forth in the space below.

Payment Terms

In consideration for the services rendered by Party A, Party B shall pay the amounts and according to the schedule described below. All payments are due in United States Dollars and are subject to the terms stated herein.

Any undisputed amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law. Parties may specify a fixed late fee below in lieu of an interest calculation.

Term and Termination

This Agreement commences on Start Date: and will continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon providing written notice to the other party not less than days prior to the intended termination date. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days following written notice specifying the breach.

Confidentiality

Each party (Recipient) shall hold in strict confidence and shall not disclose to any third party any Confidential Information disclosed by the other party (Discloser) except to those employees, agents, or subcontractors who have a need to know for performance of this Agreement and who are bound by confidentiality obligations no less protective than those herein. "Confidential Information" includes non-public business, technical and financial information, but excludes information that (a) was in the public domain at the time of disclosure, (b) becomes public through no fault of Recipient, (c) is lawfully received from a third party without restriction, or (d) is independently developed without use of Discloser's Confidential Information.

The confidentiality obligations under this Agreement shall survive termination for a period of years, unless otherwise required by law to be retained for a longer period.

Representations; Warranties; Indemnity

Each party represents that it has full corporate or individual power and authority to enter into this Agreement. Party A warrants that services will be performed in a professional manner consistent with generally accepted industry standards. Each party agrees to indemnify and hold harmless the other from third-party claims arising out of its breach of this Agreement or its negligent acts or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising out of or relating to this Agreement.

Entire Agreement; Amendment

This Agreement, including all exhibits and schedules referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger, acquisition or sale of all or substantially all assets, provided the assignee assumes all obligations hereunder.
